1. Definitions

In these Terms and Conditions:

"Company", "We", "Us", or "Our" refers to Cogni Solutions Limited, the legal entity operating Triplicity Astrology 占星館.

"Academy" refers to Triplicity Astrology 占星館, the online astrology education platform operated by the Company at academy.triplicityastrology.com and triplicityastrology.com.

"Student", "You", or "Your" refers to any individual who registers an account, purchases a course, enrols in a programme, or accesses any content offered by the Academy.

"Course" refers to any online course, programme, bundle, specialisation pathway, or standalone course offered by the Academy.

"Membership" refers to any recurring subscription product offered by the Academy, including 月象會員 and 深度會員.

"Content" refers to all videos, audio recordings, written materials, worksheets, PDFs, live session recordings, assignments, assessments, certificates, and any other materials made available through the Academy platform.

"Live Sessions" refers to any scheduled online sessions conducted via Zoom or other video conferencing platforms, including tutorials, Q&A sessions, and deep-dive sessions.

"Platform" refers to the LearnWorlds-hosted learning management system accessible at academy.triplicityastrology.com.

2. Acceptance of Terms

By registering an account, making a purchase, or accessing any Content on the Platform, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional terms specific to individual Courses or Memberships.

If you do not agree to these Terms, you must not register an account, purchase any Course or Membership, or access any Content provided by the Academy.

These Terms constitute a legally binding agreement between you and Cogni Solutions Limited under the laws of Hong Kong.

3. Courses, Enrolment, and Access

3.1 Enrolment

Upon successful payment, you will be enrolled in the purchased Course or Bundle and granted access to the corresponding Content for the access duration specified at the time of purchase.

3.2 Access Duration

All Courses have a defined access period. The access duration applicable to each Course is displayed on the course page and confirmed in your enrolment confirmation email. Access to Course Content expires automatically at the end of the stated access period regardless of whether you have completed the Course.

The Company is under no obligation to extend access beyond the stated period. Access extensions may be purchased separately at the published extension pricing and are granted at the Company's sole discretion.

3.3 Account Requirements

You must create an individual account to access the Platform. Accounts are personal and non-transferable. You may not share your login credentials with any other person. Each account is for the use of one individual only.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@triplicityastrology.com if you suspect any unauthorised use of your account.

3.4 Prerequisites and Sequential Access

Certain Courses are subject to prerequisite requirements. Access to higher-level Courses is conditional upon completion of prerequisite Courses and, where applicable, satisfactory completion of assessments as determined by the Company. The Company reserves the right to modify prerequisite requirements at any time.

4. Payment

4.1 Pricing and Currency

All prices are quoted in Hong Kong Dollars (HKD) unless otherwise stated. Prices are inclusive of any applicable taxes unless expressly stated otherwise. The Company reserves the right to modify pricing at any time. Price changes will not affect purchases already completed.

4.2 Payment Processing

Payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service. The Company does not store your payment card details. All payment data is handled directly by Stripe in accordance with PCI-DSS standards.

4.3 Promotional Codes and Discounts

Promotional codes and discount coupons are subject to the specific terms and conditions applicable to each promotion, including validity periods and usage restrictions. Promotional codes cannot be applied retrospectively to completed purchases. Only one promotional code may be applied per transaction unless expressly stated otherwise.

4.4 Failed Payments

In the event of a failed payment, access to the relevant Course or Membership will not be granted or will be suspended until payment is successfully completed. The Company accepts no liability for any loss suffered as a result of failed payment processing.

5. No Refund Policy

ALL SALES ARE FINAL. THE COMPANY OPERATES A STRICT NO-REFUND POLICY. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES ONCE A PURCHASE HAS BEEN COMPLETED.

5.1 No Refunds

Due to the digital and immediately accessible nature of our Course Content, all purchases are final and non-refundable. By completing a purchase, you expressly acknowledge and agree that you are not entitled to any refund, credit, or chargeback in respect of any Course, Bundle, Membership, or other product purchased from the Academy, regardless of:

Whether you have accessed any part of the Course Content;

Whether you have completed the Course;

Whether the Course met your expectations;

Whether you are able to attend scheduled Live Sessions;

Any change in your personal circumstances after purchase;

Any technical issues on your end, including device incompatibility or internet connectivity problems;

Any dissatisfaction with the Course Content, teaching style, or learning outcomes.

5.2 Chargebacks

Initiating a chargeback or payment dispute through your bank or credit card provider in circumstances where no genuine unauthorised transaction has occurred constitutes a breach of these Terms. The Company reserves the right to suspend or permanently terminate your account and access to all Content in the event of a chargeback initiated without valid grounds. The Company will contest all unwarranted chargebacks and provide relevant purchase records to the payment processor.

5.3 Exceptional Circumstances

The Company may, entirely at its sole and absolute discretion, consider requests for credit or partial credit in exceptional circumstances such as serious illness or bereavement, subject to the provision of appropriate supporting documentation. Any such consideration does not constitute an obligation or precedent. Decisions made in one case do not create any entitlement in any other case.

To submit an exceptional circumstances request, email hello@triplicityastrology.com with the subject line 'Exceptional Circumstances Request' within 14 days of the triggering event. All decisions are final.

6. Memberships and Subscriptions

6.1 Recurring Billing

Membership subscriptions are billed on a recurring monthly basis on the same calendar date as the original subscription date. By subscribing, you authorise the Company to charge your nominated payment method automatically on each renewal date until you cancel.

6.2 Cancellation

You may cancel your Membership subscription at any time via your account settings on the Platform. Upon cancellation, your access will continue until the end of the current billing period. No refund will be issued for any unused portion of the current billing period.

6.3 Price Changes

The Company reserves the right to modify Membership pricing at any time. You will be given no less than 30 days' written notice of any price increase. Continued use of the Membership after the effective date of a price change constitutes acceptance of the new price.

6.4 Failed Renewal

In the event that a scheduled Membership payment fails, the Company will attempt to notify you. If payment is not successfully processed within 7 days of the due date, your Membership access may be suspended or terminated. Reinstatement of access following a failed renewal requires a new subscription purchase at the prevailing rate.

7. Intellectual Property

7.1 Ownership

All Content available through the Academy — including but not limited to videos, audio recordings, written materials, worksheets, course notes, assessment materials, lesson structures, curriculum design, methodologies, and the Triplicity Astrology brand — is the exclusive intellectual property of Cogni Solutions Limited and is protected by Hong Kong and international copyright law.

7.2 Licence to Students

Upon enrolment, you are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Course Content solely for your own personal, non-commercial educational purposes during your access period. This licence does not constitute a transfer of ownership of any Content.

7.3 Prohibited Uses

You must not, without the prior written consent of the Company:

Copy, reproduce, distribute, publish, transmit, broadcast, or make available to the public any Content in any form or by any means;

Share your account login credentials with any other person or allow any other person to access the Platform using your account;

Record, screenshot, screen-capture, or otherwise reproduce any Live Session or Course Content;

Upload, post, or share any Course Content on any third-party platform, social media, file-sharing service, or messaging application;

Use any Content for commercial purposes, including but not limited to resale, sublicensing, teaching, or incorporation into other educational products;

Remove or alter any copyright notice, watermark, or proprietary notice on any Content;

Use automated tools, bots, or scraping technology to access or extract Content from the Platform.

7.4 Enforcement

Any unauthorised use of the Company's intellectual property constitutes infringement and may result in immediate termination of your account and access to all Content, civil proceedings for damages, and/or criminal prosecution under applicable law. The Company actively monitors for unauthorised distribution of its Content and will pursue all available legal remedies.

8. Live Sessions

8.1 Scheduling

Live Sessions are scheduled at the Company's discretion. Session dates, times, and formats are subject to change. The Company will make reasonable efforts to provide advance notice of schedule changes, but is not liable for any inconvenience caused by rescheduling or cancellation of Live Sessions.

8.2 Recording by the Company

Live Sessions may be recorded by the Company and made available to eligible Students (Tier 2 and Tier 3 students, and applicable Membership holders) via the Platform. Recordings are subject to the same intellectual property protections as all other Course Content.

8.3 No Recording by Students

Students are strictly prohibited from recording Live Sessions by any means, including screen recording software, video capture devices, audio recording, or any other method. Any Student found to be recording a Live Session without the Company's express written authorisation will have their account immediately suspended or terminated and may be subject to legal action.

8.4 Conduct in Live Sessions

Students participating in Live Sessions must conduct themselves respectfully and professionally at all times. The Company reserves the right to remove any Student from a Live Session and/or suspend their account for disruptive, offensive, or inappropriate behaviour.

8.5 Non-Attendance

No refund, credit, or alternative access will be provided where a Student is unable to attend a Live Session for any reason. Where sessions are recorded, eligible Students may access recordings via the Platform within a reasonable time after the session.

9. Certificates and Credentials

Certificates issued by Triplicity Astrology 占星館 are awarded upon satisfactory completion of the relevant Course requirements, including submission and instructor approval of required assignments. Certificates represent completion of the Academy's curriculum and are not accredited by any external regulatory body, professional association, or government authority.

The Company reserves the right to withhold, revoke, or decline to issue a certificate where the Company has reasonable grounds to believe that a Student has engaged in academic dishonesty, plagiarism, misrepresentation, or any breach of these Terms. A revoked certificate will be invalidated and the Company will notify any relevant parties of the revocation where appropriate.

10. Community and User-Generated Content

10.1 Community Conduct

Students who participate in the Academy's community spaces (including LearnWorlds Spaces) agree to conduct themselves respectfully and in accordance with the Community Guidelines published on the Platform. The Company reserves the right to remove any content posted by Students and to suspend or terminate the accounts of Students who violate Community Guidelines or these Terms.

10.2 User-Generated Content

By posting any content in community spaces, you grant the Company a non-exclusive, royalty-free, perpetual licence to use, display, and share that content within the Platform for community and educational purposes. You retain ownership of your own content but confirm that it does not infringe any third-party rights.

10.3 Confidentiality in Case Discussions

When sharing client chart analyses or personal case studies in community spaces for educational purposes, Students must anonymise all personal data. The sharing of identifiable information about third parties without their consent may constitute a breach of Hong Kong privacy law and these Terms.

11. Disclaimer of Warranties and Limitation of Liability

11.1 Educational Purpose Only

All Content provided by the Academy is for educational and personal development purposes only. Astrology, as taught by the Academy, is not a science and does not constitute professional advice of any kind, including but not limited to medical, psychological, financial, legal, or relationship advice. The Company makes no representations or warranties as to the accuracy, completeness, or fitness for any particular purpose of any astrological information contained in the Course Content.

11.2 No Guarantee of Outcomes

The Company makes no guarantee, representation, or warranty that completion of any Course or Membership will result in any particular outcome, skill level, professional qualification, career advancement, or personal benefit. Individual results will vary based on personal effort, application, background knowledge, and other factors beyond the Company's control.

11.3 Platform Availability

The Company makes reasonable efforts to ensure that the Platform is available and functional. However, the Company does not guarantee uninterrupted or error-free access to the Platform. Scheduled maintenance, technical issues, or circumstances beyond the Company's control may result in temporary unavailability. No refund or credit will be provided for temporary Platform unavailability.

11.4 Limitation of Liability

To the maximum extent permitted by applicable Hong Kong law, the Company's total liability to you for any claim arising out of or in connection with these Terms, the Platform, or any Course or Membership, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount actually paid by you to the Company in respect of the specific Course or Membership to which the claim relates in the 12 months preceding the event giving rise to the claim.

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or any other intangible loss, even if the Company has been advised of the possibility of such damages.

12. Privacy and Data Protection

The Company collects and processes personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong. By using the Platform, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy, which is incorporated into these Terms by reference.

Personal data collected includes but is not limited to: name, email address, payment information (processed by Stripe), course progress data, assignment submissions, and community activity. This data is used to provide and improve the Platform and educational services, process payments, communicate with you regarding your account and courses, and comply with legal obligations.

We do not sell your personal data to third parties. We may share data with trusted service providers (including LearnWorlds and Stripe) solely for the purpose of operating the Platform and processing payments, subject to appropriate data protection agreements.

13. Account Suspension and Termination

The Company reserves the right to suspend or permanently terminate your account and revoke your access to all Content, without notice and without refund, in the event of:

Any breach of these Terms and Conditions;

Any actual or suspected unauthorised recording, copying, or distribution of Course Content;

Sharing of login credentials or permitting any other person to access the Platform using your account;

Initiation of a chargeback or payment dispute without valid grounds;

Abusive, offensive, or threatening conduct towards the Company, its instructors, or other Students;

Any conduct that the Company reasonably considers to be harmful to the Academy, its reputation, or its community;

Any fraudulent activity or misrepresentation in connection with a purchase or enrolment.

Termination of your account does not entitle you to any refund of fees paid. The Company is not liable for any loss suffered as a result of account suspension or termination arising from a breach of these Terms.

14. Modifications to Courses and Terms

14.1 Course Content

The Company reserves the right to modify, update, add to, or remove Course Content at any time. Such changes may include updating lesson materials, adjusting the curriculum structure, changing session schedules, or retiring courses. Where material changes are made to a Course in which you are currently enrolled, the Company will make reasonable efforts to notify you.

14.2 Terms and Conditions

The Company reserves the right to amend these Terms and Conditions at any time. The updated Terms will be published on the Platform and the 'Last updated' date will be revised accordingly. Your continued use of the Platform or access to any Course following publication of updated Terms constitutes acceptance of the revised Terms.

It is your responsibility to review these Terms periodically. If you do not agree with any changes, you must discontinue use of the Platform.

15. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong in respect of any dispute or claim arising out of or in connection with these Terms, the Platform, or any Course or Membership.

Before initiating formal legal proceedings, both parties agree to make good-faith efforts to resolve any dispute through direct communication. Disputes should be raised in the first instance by email to hello@triplicityastrology.com.
